KeyVex LLC — Terms of Service

PLEASE READ CAREFULLY: SECTION 9 CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. BY USING THE SERVICE, YOU AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

Welcome to KeyVex, an infrastructure provider of public financial and regulatory data delivered via the Model Context Protocol (MCP), operated by Keyvex LLC ("Company", "we", "us", or "our"). Our website is keyvex.com and our MCP service endpoint is mcp.keyvex.com.

By creating an account, completing a purchase or subscription via Stripe, generating a KeyVex MCP authentication token, or connecting your Large Language Model (LLM) client to our server, you ("User", "Developer", or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

1. Description of Service

Keyvex LLC provides a developer-focused MCP server that normalizes public U.S. Government disclosure data into a suite of agent-native tools. Through MCP-compatible clients (such as Claude, Cursor, or custom developer agents), users may programmatically query, filter, and ingest parsed public-record data across federal financial, corporate, and political-disclosure sources — including SEC filings (insider transactions, institutional and fund holdings, fundamentals, corporate events, registrations, and related disclosures), Congressional trading and annual financial disclosures, executive-branch financial disclosures, campaign finance, lobbying, foreign-agent registrations, federal contracts and grants, regulatory enforcement actions, sanctions and screening lists, economic indicators, and other public sources. The specific tools and sources available may change over time as the Service evolves.

2. Access, Billing, and Subscriptions

Preview Access: During preview, the Service may be offered with public access and without authentication. Authentication tokens and paid subscription tiers are introduced at and after general launch.

Payment Processing: All subscription billing, tier upgrades, and payment processing are handled by Stripe. By subscribing, you authorize Keyvex LLC (via Stripe) to charge your designated payment method on a recurring monthly or annual basis according to your selected plan.

Token Provisioning: For paid tiers, upon successful payment verification by Stripe, a unique KeyVex authentication token is provisioned to your account.

Cancellations and Refunds: You may cancel your subscription at any time through your account billing portal to prevent future renewals; cancellation takes effect at the end of your current billing period. Due to the immediate resource costs of data provisioning and server overhead, all fees paid are non-refundable unless otherwise required by law.

3. Token Security & Client Responsibility

Credential Protection: Your KeyVex authentication token is confidential and acts as the gatekeeper to our infrastructure. You are entirely responsible for securing this token within your local environment and configuration files (e.g., your MCP client configuration).

Compromised Tokens: If we detect that your token has been exposed in a public repository (such as GitHub), public logs, or front-end application bundles, Keyvex LLC reserves the right to immediately revoke and rotate the token to protect server integrity.

Downstream Logging and Observability Security: You acknowledge that using the Service via an LLM client may involve piping tool payloads into third-party AI observability, logging, or tracing platforms (e.g., LangSmith, Helicone, Phoenix, Arize). You agree to keep all such dashboards, logs, and data repositories private and secure. You are responsible for any wholesale leakage of KeyVex data payloads resulting from insecure or publicly accessible third-party developer tools or logging infrastructure.

4. License Limitations & Acceptable Use

While the underlying raw data originates from public federal sources and is not itself owned by Keyvex LLC, the parsing logic, normalization pipelines, database architecture, tool manifest definitions, input schemas, prompt templates, and LLM-optimized context payloads are the proprietary intellectual property of Keyvex LLC.

Permitted Use: Your subscription licenses you to query the Service — directly or through an AI agent acting on your behalf — to retrieve, analyze, and incorporate data into your own research, applications, workflows, and end-user-facing products. It is expected and permitted that an autonomous agent will run queries on behalf of its user; that is the intended mode of using an MCP server.

Prohibited Use — Resale and Redistribution: What is prohibited is taking the data retrieved from KeyVex and re-serving, redistributing, mirroring, or reselling it — whether directly or through an agent or application — as a standalone data feed, dataset, or API that competes with or substitutes for a KeyVex subscription. In other words: querying KeyVex to power your product is permitted; repackaging KeyVex's data as your own data product is not. Reselling KeyVex data in this manner requires a separate written enterprise/commercial redistribution agreement from Keyvex LLC.

KEYVEX LLC IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, ACCOUNTANT, OR FINANCIAL ADVISOR.

Raw Contextual Data: All data payloads returned by KeyVex MCP tools consist of raw public filings and disclosures, optimized for LLM context windows. They are provided for informational and educational research purposes only, and do not constitute investment, legal, tax, or financial advice.

Model Synthesis and Hallucinations: Because this data is designed to be read, parsed, and interpreted by artificial intelligence, Keyvex LLC is not responsible for how your LLM client synthesizes, summarizes, or potentially mischaracterizes or hallucinates financial context based on our tool outputs. You assume full responsibility for any decisions or trades made based on this data.

6. Disclaimers & Limitation of Liability

"As-Is" Service: We mirror data from government portals and sources that are themselves subject to outages, format changes, reporting lags, and revisions. We do not guarantee that government sources will be online, accurate, complete, or current, and we surface coverage limitations where known. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied.

Liability Cap: To the maximum extent permitted by law, Keyvex LLC, its members, founders, and partners shall not be liable for any trading losses, financial damages, third-party LLM API usage overages, or computational costs incurred by your client workflows.

7. Indemnification

You agree to defend, indemnify, and hold harmless Keyvex LLC, its members, founders, employees, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees) arising from: (i) your misuse of or connection to the KeyVex MCP server; (ii) your violation of any term of these Terms; or (iii) any third-party claims or financial losses arising from applications, autonomous agents, alerts, or trading systems you build using data provided by the Service.

8. Changes to These Terms

Keyvex LLC may update these Terms from time to time. Material changes will be communicated through the account dashboard or by email to the address associated with your account. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

9. Governing Law, Dispute Resolution, and Severability

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict-of-law principles. Any legal actions or disputes must be filed in the appropriate state or federal courts located within South Carolina.

Class Action Waiver & Arbitration: YOU AND KEYVEX LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree to waive the right to a trial by jury. Any dispute that cannot be resolved informally shall be settled by binding, individual arbitration seated in Columbia, South Carolina, administered by a nationally recognized, independent arbitration association in accordance with its standard commercial arbitration rules.

Severability: If any provision of these Terms, or any portion of the arbitration agreement herein, is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision or portion shall be severed, and the remaining portions of these Terms and the arbitration agreement shall continue in full force and effect.
