Welcome to KeyVex, an infrastructure provider of public financial and regulatory data delivered via the Model Context Protocol (MCP), operated by KeyVex LLC ("Company", "we", "us", or "our"). Our website is keyvex.com and our MCP service endpoint is mcp.keyvex.com.
By creating an account, completing a purchase or subscription via Stripe, generating a KeyVex authentication token or API key, or connecting your Large Language Model (LLM) client to our server, you ("User", "Developer", or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.
1. Description of Service
KeyVex LLC provides a developer-focused MCP server that normalizes public U.S. Government disclosure data into a suite of agent-native tools. Through MCP-compatible clients (such as Claude, Cursor, or custom developer agents), users may programmatically query, filter, and ingest parsed public-record data across federal financial, corporate, and political-disclosure sources — including SEC filings (insider transactions, institutional and fund holdings, fundamentals, corporate events, registrations, and related disclosures), Congressional trading and annual financial disclosures, campaign finance, lobbying, foreign-agent registrations, federal contracts and grants, regulatory enforcement actions, sanctions and screening lists, economic indicators, and other public sources. The Service may also include equity market price data provided under license from third-party data providers, as described in Section 6. The specific tools and sources available may change over time as the Service evolves. All data is provided for informational infrastructure purposes.
Reference Data: Alongside government disclosure data and Market Data, the Service includes company reference information that KeyVex assembles and maintains — including company names and identifiers (tickers, CIKs, CUSIPs, LEIs), industry and sector classifications, corporate relationships, descriptive company profiles, and company brand marks and logos — compiled from public sources ("Reference Data"). Reference Data is provided solely to identify and contextualize the companies and securities to which the Service's records pertain.
Third-Party Marks; No Affiliation or Endorsement: Company names, ticker symbols, logos, and other brand marks displayed in or returned by the Service (including within Reference Data) are the trademarks of their respective owners. KeyVex uses them nominatively — solely to identify the companies and securities that the underlying public records concern. Their display does not imply, and KeyVex expressly disclaims, any affiliation with, or sponsorship, approval, or endorsement by, any trademark owner. KeyVex grants you no license to any third-party trademark, and you may not use marks retrieved from the Service other than to identify those same subjects in accordance with applicable law.
2. Account Tiers & Scope of Permitted Use
KeyVex LLC grants you a limited, non-exclusive, non-transferable, revocable right to access and query the KeyVex MCP service strictly in accordance with the specific parameters of your registered subscription tier:
Free Tier: Granted strictly for non-professional, individual, evaluative use. You may query the API solely to test compatibility and evaluate data structures. Commercial trading or decision-making is strictly prohibited under this tier.
Pro Tier ($29/month): Granted strictly for Non-Professional, Personal Use. You may use the API and its data outputs solely to analyze market data and execute trades for your own individual, personal brokerage account. Commercial use of any kind — including any access or use on behalf of, or for the benefit of, a business entity, or to manage third-party, institutional, or client funds — is strictly prohibited under this tier and requires the Premium Tier.
Premium Tier ($79/month): Granted for Professional and Commercial Use. If you access or query the API on behalf of, or for the benefit of, any business entity (including an LLC, Corporation, Partnership, or Sole Proprietorship), or to manage third-party, institutional, or client funds, you must be actively subscribed to the Premium Tier. Custom or institutional arrangements may be subject to additional, separately executed Addenda; in the absence of a separate agreement, these Terms shall govern.
3. Access, Billing, and Subscriptions
Preview Access: During preview, the Service may be offered with public access and without authentication. Authentication tokens, accounts, and paid subscription tiers are introduced at and after general launch.
Payment Processing: All subscription billing, tier upgrades, and payment processing are handled by Stripe. By subscribing, you authorize KeyVex LLC (via Stripe) to charge your designated payment method on a recurring monthly or annual basis according to your selected plan.
Token Provisioning: For paid tiers, upon successful payment verification by Stripe, a unique KeyVex authentication token is provisioned to your account.
Cancellations and Refunds: You may cancel your subscription at any time through your account billing portal to prevent future renewals; cancellation takes effect at the end of your current billing period. Due to the immediate resource costs of data provisioning and server overhead, all fees paid are non-refundable unless otherwise required by law.
4. API Key & Token Security; Client Responsibility
Credential Protection: Your KeyVex authentication token or API key is confidential and acts as the gatekeeper to our infrastructure. You are entirely responsible for securing this credential within your local environment and configuration files (e.g., your MCP client configuration).
Compromised Credentials: If we detect that your token or key has been exposed in a public repository (such as GitHub), public logs, or front-end application bundles, KeyVex LLC reserves the right to immediately revoke and rotate the credential to protect server integrity.
Downstream Logging and Observability Security: You acknowledge that using the Service via an LLM client may involve piping tool payloads into third-party AI observability, logging, or tracing platforms (e.g., LangSmith, Helicone, Phoenix, Arize). You agree to keep all such dashboards, logs, and data repositories private and secure. You are responsible for any wholesale leakage of KeyVex data payloads resulting from insecure or publicly accessible third-party developer tools or logging infrastructure.
5. License, Acceptable Use & Data Protections
While the underlying raw data originates from public federal sources and is not itself owned by KeyVex LLC, the parsing logic, normalization pipelines, database architecture, tool manifest definitions, input schemas, prompt templates, and LLM-optimized context payloads are the proprietary intellectual property of KeyVex LLC. KeyVex-authored content included in the Service — including summaries, descriptions, classifications, annotations, and other editorial material created by KeyVex — is likewise the proprietary intellectual property of KeyVex LLC.
Permitted Use: Your subscription licenses you to query the Service — directly or through an AI agent acting on your behalf — to retrieve, analyze, and incorporate data into your own research, applications, workflows, and end-user-facing products. It is expected and permitted that an autonomous agent will run queries on behalf of its user; that is the intended mode of using an MCP server.
Except as expressly authorized in writing by KeyVex LLC, you agree NOT to, directly or indirectly:
- Resell or Redistribute: Rent, lease, sublicense, resell, redistribute, white-label, or transfer access to the KeyVex API, its endpoint access keys, or its raw data outputs to any third party; or take the data retrieved from KeyVex and re-serve, redistribute, mirror, or resell it — whether directly or through an agent or application — as a standalone data feed, dataset, or API that competes with or substitutes for a KeyVex subscription. Querying KeyVex to power your product is permitted; repackaging KeyVex's data as your own data product is not, and requires a separate written enterprise/commercial redistribution agreement from KeyVex LLC.
- Maintain Standing Copies or Mirror the Database: You are granted a license to query the data via the API for real-time analysis and decision-making. You are strictly prohibited from persistently re-storing, caching long-term, or accumulating the data to build, maintain, or update a local mirror, standing copy, or independent historical database of the KeyVex datasets.
- Build Derivative Data Products: Package, bundle, or scrape the data retrieved via the KeyVex API to launch a competing software product, standalone commercial data feed, or public API subscription service.
- Systematically Ingest Data ("Tool Draining"): Engineer loops, autonomous scripts, or recursive agent workflows designed to systematically exhaust KeyVex MCP tools in order to download, mirror, or reconstruct our database in bulk.
- Circumvent Controls: Modify or circumvent rate limits, pagination structures, or payload size caps built into our MCP server responses. Such circumvention will result in immediate termination of your subscription and revocation of your credentials without a refund.
6. Third-Party Market Data (Tiingo / IEX)
In addition to public government disclosure data, the Service may include end-of-day and intraday equity market price data ("Market Data") provided under license from Tiingo, Inc. ("Tiingo"), including data originating from the Investors Exchange (IEX) and other upstream exchanges. Market Data is licensed third-party content — not public-record government data — and this Section applies to Market Data in addition to, and where stricter than, the other provisions of these Terms.
- Internal Use Only: You may use Market Data solely for your own internal business or personal purposes. Displaying Market Data within your own application for your end users to read and view is permitted; providing Market Data onward as data is not.
- No Redistribution: You may not resell, redistribute, sublicense, republish, or transfer Market Data to any third party, whether as a data feed, dataset, API, file export, or otherwise.
- No Bulk Export: You may not export Market Data in bulk from the Service or from any application through which it is delivered, and you may not accumulate Market Data to build or maintain a standing database or historical archive of it.
- Attribution: Service responses carrying Market Data include the attribution "Close Prices from Tiingo.com." You may not remove, obscure, or alter this attribution or any other proprietary notice accompanying Market Data.
- No Substitute Products: You may not use Market Data to create derivative works or products that substitute for the underlying Market Data or that could be reverse-engineered into it, and you may not use Market Data for benchmarking or to build a product or service that competes with the Market Data provider.
- Upstream Terms: Your use of Market Data is additionally subject to the applicable access and usage requirements of the upstream data sources (including exchanges) and Tiingo's Terms of Use at tiingo.com/tos.
- Fingerprinting: You acknowledge that Market Data may be fingerprinted by its provider to trace unauthorized downstream distribution.
- Termination & Deletion: Upon termination of your subscription, or upon expiration or termination of KeyVex's upstream Market Data license, your right to use Market Data ceases immediately, and you agree to delete Market Data in your possession or control promptly upon notice from KeyVex LLC.
KeyVex LLC's Market Data providers are intended third-party beneficiaries of this Section 6 and may enforce its protections directly. Market Data availability depends on upstream providers, and specific Market Data sources may be modified or discontinued if upstream sources impose restrictions or cease to be available to KeyVex LLC.
7. Rate Limits, Anti-Circumvention, and System Integrity
Technical Restraints: KeyVex LLC enforces automated query-only limits, rate limits, and bulk extraction blocks to maintain system stability.
No Bulk Extraction or Scraping: You are contractually prohibited from systematically extracting, "data dumping," or harvesting the dataset in bulk.
Anti-Circumvention: Any attempt to bypass, disable, circumvent, or defeat KeyVex's technical rate limits, endpoint protections, or authentication systems (including but not limited to using multiple accounts, IP rotation strategies, or distributed botnets to obscure volume) constitutes a material breach of these Terms and will result in immediate, permanent account termination and potential legal action.
8. No Investment Advice & Assumption of Risk
KEYVEX LLC IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, ACCOUNTANT, OR FINANCIAL ADVISOR.
Raw Contextual Data: All data payloads returned by KeyVex MCP tools consist of raw public filings and disclosures, optimized for LLM context windows. They are provided for informational and educational research purposes only, and do not constitute investment, legal, tax, or financial advice.
Assumption of Trading Risk: You acknowledge that equity trading and financial market speculation involve extreme financial risk. You assume full, exclusive responsibility for any trading decisions, automated logic, algorithm execution, and financial losses incurred while using this Service.
Model Synthesis and Hallucinations: Because this data is designed to be read, parsed, and interpreted by artificial intelligence, KeyVex LLC is not responsible for how your LLM client synthesizes, summarizes, or potentially mischaracterizes or hallucinates financial context based on our tool outputs. You assume full responsibility for any decisions or trades made based on this data.
9. Disclaimers & Limitation of Liability
"As-Is" Service: We mirror data from government portals and sources that are themselves subject to outages, format changes, reporting lags, and revisions. We do not guarantee that government sources will be online, accurate, complete, or current, and we surface coverage limitations where known. The hosted API and data feeds are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied. KeyVex LLC does not warrant that API access will be uninterrupted, error-free, completely timely, or free from data inaccuracies caused by upstream public sources.
Reference Data & KeyVex-Authored Content: Reference Data and KeyVex-authored content (Section 1 and Section 5) are compiled, matched, and written by KeyVex from public sources, and their accuracy depends on KeyVex's own assembly — not solely on upstream sources. Reference Data may be incomplete, outdated, or superseded (for example, officer or company details that changed after the most recent public filing), and associations drawn between records from different sources may be imperfect. KeyVex-authored summaries, descriptions, and classifications are condensations provided for convenience; they are not official statements, do not carry the authority of the underlying records, and may omit context. All such material is provided under the same "AS IS" disclaimer above — verify against the linked source records before relying on any of it.
Cap on Damages: To the maximum extent permitted by law, KeyVex LLC, its members, founders, and partners shall not be liable for any direct, indirect, incidental, or consequential damages (including lost trading profits, algorithm execution errors, third-party LLM API usage overages, server downtime, computational costs, or data loss). In no event shall KeyVex LLC's total liability for any claim exceed the total fees paid by you to KeyVex LLC during the twelve (12) months preceding the event giving rise to liability, or a maximum cap of $50 USD for users on the Free Tier.
10. Indemnification
You agree to defend, indemnify, and hold harmless KeyVex LLC, its members, founders, employees, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees) arising from: (i) your misuse of or connection to the KeyVex MCP server; (ii) your violation of any term of these Terms; or (iii) any third-party claims or financial losses arising from applications, autonomous agents, alerts, or trading systems you build using data provided by the Service.
11. Changes to These Terms
KeyVex LLC may update these Terms from time to time. Material changes will be communicated through the account dashboard or by email to the address associated with your account. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law, Mandatory Arbitration, and Class Action Waiver
Arbitration as a Condition of Access: As a strict condition of creating an account, generating an API key, or querying the KeyVex service, you explicitly agree that any and all disputes between you and KeyVex LLC must be resolved through binding arbitration.
Governing Law: These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict-of-law principles.
Binding Arbitration: You and KeyVex LLC agree that any dispute, claim, or controversy arising out of or relating to this Service, these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be settled exclusively by binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Columbia, South Carolina, and the proceedings shall be conducted in English. The arbitrator's decision shall be final and binding. You agree to waive the right to a trial by jury.
Class Action Waiver: YOU AND KEYVEX LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
13. Severability & Entire Agreement
Severability: If any provision of these Terms, or any portion of the arbitration agreement herein, is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision or portion shall be severed or limited to the minimum extent necessary, and the remaining portions of these Terms and the arbitration agreement shall continue in full force and effect.
Entire Agreement: These Terms constitute the entire understanding and agreement between you and KeyVex LLC regarding the Service, and supersede all prior or contemporaneous written or oral agreements regarding the Service, including any prior "Hosted API & Services Agreement" and any prior version of these Terms of Service.

The disclosure records served by the API originate from official US government sources and are public by federal mandate. Equity market price data, where offered, is provided under license from third-party providers and is subject to Section 6.
